PikaPark Commerce Sync — End User License Agreement
Effective date: October 1, 2026
1. Provider and scope
PikaPark Commerce Sync and its associated PIKA Park Control Center functionality (the “Application”) are owned and operated by Shopvidi Inc. (“Company,” “we,” “us” or “our”).
This End User License Agreement governs use of the Application exclusively for internal PIKA Park business operations by Shopvidi Inc.’s authorized employees and contractors within their assigned responsibilities. The Application is not offered to unrelated merchants or the general public. The public availability of this page does not grant access to the Application or any merchant account.
This Agreement concerns the Application. It does not replace the PIKA Park storefront’s terms of sale, privacy policy, refund policy, shipping policy or other customer-facing store policies.
2. Limited license
Subject to your authorization by the Company and compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable and non-sublicensable license to use the Application for authorized PIKA Park business purposes.
Source-code access, development, deployment and administrative access require separate authorization. This license does not permit resale, public distribution, hosting for unrelated merchants or access to another merchant’s accounts without permission. Third-party components remain subject to their own applicable licenses.
3. Functions and approval requirements
The Application supports store-data observations, catalog and inventory review, product and variant matching, task assignment, content preparation, human approvals, evidence recording and operational recommendations.
Optional functions, including model-assisted work, paid image requests and Shopify draft-product creation, depend on their configuration and applicable approvals. A granted API permission, successful connection check or available feature does not authorize its use for every task.
You must follow the approved scope for each action. A recommendation, draft or approval record is not proof that an external action occurred. This Agreement does not independently authorize payments, refunds, spending, publication, inventory changes, fulfillment or customer communications.
4. Your responsibilities
- Use only information, accounts and merchant records you are authorized to access.
- Keep credentials and execution keys confidential. Do not place them in prompts, notes, evidence or shared files.
- Provide only information necessary for the approved task and avoid unnecessary personal information or payment-card details.
- Review proposed changes and generated materials before external use, including their accuracy, product claims and intellectual-property permissions.
- Distinguish real observations, human confirmations, simulations, skipped steps and unknown results. Do not falsify evidence or business outcomes.
- Respect access controls, approval requirements and restrictions on suspended or protected work. Do not bypass security or audit safeguards.
- Report suspected unauthorized access or misuse to the Company.
5. Generated content and human judgment
Generated content and recommendations may be inaccurate, incomplete or unsuitable. They do not replace human review or verification against reliable source information. A generated artifact must not be presented as a verified transaction, publication, shipment or business result.
You must have the necessary rights to materials submitted for processing. A rights-confirmation field records your representation; it does not independently establish permission to use a product image, logo, character, design or other material. The Company does not promise that generated output is unique, non-infringing or eligible for exclusive ownership.
6. Data and privacy
The separate PikaPark Commerce Sync — Privacy Policy describes the Application’s information handling. Submit information only for authorized purposes and with the required rights and permissions.
This Agreement does not transfer ownership of merchant data or third-party materials merely because they are processed through the Application. Operational records may remain after access ends. Stopping use or disconnecting an integration does not automatically delete previously stored records, files or backups.
Privacy procedures and synthetic-data tests do not establish that production data has been deleted or that backup and import controls are deployed. Authorized personnel must distinguish documented procedures, tested designs and functions actually available in the operating system.
7. Third-party services
Depending on the functions used, the Application may interact with Clover, Shopify, Merakku, Codex and its configured model provider, and ngrok. Authorized operators may separately transfer task information to Tycoon or another approved recipient. Tycoon is a separate, manually operated service rather than an integrated Application API.
These services are subject to their own terms, permissions and account arrangements, including any separately authorized provider charges. This Agreement does not grant provider subscriptions or credentials. Provider availability, pricing and functionality may change.
Clover and its affiliates are not parties to this Agreement and are not the licensor or provider of the Application. This Agreement does not impose responsibility on them for the Application. References to other providers likewise do not make them parties to this Agreement or imply their endorsement.
8. Ownership
Shopvidi Inc. owns the software rights in PikaPark Commerce Sync and reserves rights not expressly granted by this Agreement. Third-party software, imagery, trademarks, characters and other materials remain subject to their respective owners’ rights. This license does not grant rights in those materials beyond permissions actually held or separately obtained.
9. End of access
Your permission to use the Application ends when your authorization is withdrawn or your authorized role ends. The Company may restrict access to address security concerns, unauthorized use or violations of this Agreement, subject to applicable law and other binding obligations.
When access ends, stop using the Application and follow authorized instructions for credentials and business records. Revoking provider access and handling retained information require separate administrative action; they are not completed merely by ending your session.
10. Disclaimers and applicable rights
To the extent permitted by applicable law, the Application is provided “as is” and “as available,” without a promise of uninterrupted or error-free operation, fitness for a particular purpose or achievement of a business outcome. Separately agreed binding commitments remain subject to their own terms.
Nothing in this Agreement excludes or limits a right, warranty or responsibility that cannot lawfully be excluded or limited.
11. Changes and contact
Revisions to these terms must be made applicable through an appropriate notice or acceptance process. A revised page does not itself authorize new access or external business operations.
